OpenAI Wins Microsoft Backing For Public Benefit

OpenAI has reached a nonbinding agreement with Microsoft that paves the way for the ChatGPT maker to transition its for-profit arm into a public benefit corporation (PBC), potentially valued at more than $100 billion. The move, if approved by regulators in California and Delaware, would give OpenAI greater flexibility to raise capital and possibly prepare for a future public listing. 

Board chairman Bret Taylor confirmed that OpenAI’s nonprofit entity will continue to oversee governance and retain a controlling stake in the new PBC. “Microsoft and OpenAI have signed a nonbinding memorandum of understanding for the next phase of our partnership,” both companies stated, adding they are finalizing contractual terms. 

The agreement marks the resolution of months of tense negotiations. Microsoft, OpenAI’s largest backer and preferred cloud provider since 2019, has sought to preserve its influence while OpenAI has looked to diversify. In 2024, OpenAI signed a $300 billion cloud deal with Oracle starting in 2027 and partnered with SoftBank on its Stargate data center project, signaling reduced reliance on Microsoft Azure. 

Key details include: 

  • OpenAI’s nonprofit will hold a stake in the new PBC larger than Elon Musk’s $97 billion takeover bid, which was rejected earlier this year. 
  • The governance structure remains nonprofit-led, a system that previously enabled the board to oust and reinstate CEO Sam Altman in 2023. 
  • Regulators will assess whether the transition aligns with nonprofit oversight obligations and public benefit commitments. 

The transition comes amid legal challenges and scrutiny. Musk’s lawsuit against OpenAI highlights the shift away from its nonprofit mission, while advocacy groups argue the move risks undermining OpenAI’s pledge to ensure artificial general intelligence (AGI) benefits humanity. 

If approved, the restructuring would redefine OpenAI’s relationship with investors, competitors, and regulators - solidifying its position at the center of the global AI economy.
