3. IP ownership: Work-for-hire terms with no ambiguity
Insist on a written IP clause stating unambiguously that you own 100% of the custom code delivered. The legal term is “work made for hire.” It means the code is yours from day one. The vendor can’t claim, reuse, or hold a residual license to it.
